1.1Orbit Utilities Limited is an entity incorporated in England and Wales under company registration number 16667946, with its principal office located at New Covent Garden Market, Studio 2.02, Food Exchange, London SW8 5EL. Throughout these terms and conditions, the terms 'we', 'us', and 'our' exclusively refer to Orbit Utilities Limited and its authorized representatives acting on its behalf in the provision of services outlined herein.
1.2For inquiries, support requests, or other communications, you may contact us by sending an email to support@orbitutilities.com or by mailing a letter to our registered office address as specified in clause 1.1. We are committed to responding to your correspondence in a timely manner.
1.3Should we need to contact you regarding your account, service updates, or other matters related to these terms, we will do so using the telephone number, email address, or postal address that you have provided to us as part of your Utility Order. Our definition of 'writing' in these terms includes emails, which we consider a valid and efficient means of communication, ensuring you receive important information promptly.
1.4By submitting a Utility Order to us or by otherwise engaging with our Utility Coordination Service, you fully and unconditionally accept and agree to be bound by the entirety of these terms and conditions as the legal framework governing our relationship.
1.5The submission of a Utility Order by you constitutes a formal offer to enter into a contractual agreement with us for the provision of the Utility Coordination Service. Our acceptance of this offer will be confirmed exclusively through an email sent to you accepting your Utility Order, at which point a legally binding contract is formed between us. Any prior email acknowledgment of your Utility Order does not constitute acceptance.
1.6These terms and conditions shall apply to the exclusion of any other terms or conditions that you might seek to impose or incorporate into our agreement, whether through trade custom, practice, course of dealing, or any other implied means, unless we have expressly agreed to such terms in writing.
2Definitions
2.1The term 'Payment' refers to the recurring monthly financial obligation that you are required to fulfill, which is calculated based on the rate specified in your Utility Order or any revised rate that we communicate to you in accordance with the provisions set forth in these terms and conditions.
2.2The 'Commencement Date' is defined as the specific date on which you request the Utility Coordination Service and the associated Utility Bundle to begin at the Premises, as indicated in your Utility Order.
2.3The 'Service Usage Policy' stipulates that the consumption of utilities, including electricity, gas, and water, must be limited to reasonable domestic levels appropriate for personal habitation and daily living needs. This policy explicitly prohibits any excessive or negligent usage, as well as any utilization for business-related purposes, commercial activities, or operations that deviate from reasonable household requirements.
2.4The term 'Resident' is used to denote any individual who is currently dwelling or residing at the Premises covered under this agreement, regardless of the duration of their stay.
2.5A 'Service Provider' is defined as a third-party entity with whom we engage, acting on your behalf, to directly deliver one or more utility services, such as electricity, gas, water, or broadband, to the Premises as part of the Utility Bundle.
2.6The 'Premises' refers to the specific residential address located within the United Kingdom where the utility services outlined in the Utility Order are to be provided and managed under this agreement.
2.7The 'Administration Fee' represents the charge payable to us for the comprehensive management and oversight of the Utility Coordination Service, which includes the arrangement and administration of utility supplies to your Premises.
2.8The 'Termination Date' is defined as the specific date on which you request the Utility Coordination Service and the associated Utility Bundle to conclude at the Premises, as indicated in your Utility Order.
2.9An 'External Disruption' encompasses any unforeseen event or circumstance beyond our reasonable control that may impede our ability to deliver the Utility Coordination Service. This includes, but is not limited to, disruptions in utility services caused by third-party providers, industrial actions such as strikes or lockouts, natural disasters like floods or earthquakes, public disturbances, terrorist activities, war, governmental actions, or any other significant external factors that prevent normal operations.
2.10'Utilities' are described as one or more of the following services: the supply of electricity, gas, water, or broadband, with the explicit exclusion of any services intended for commercial or non-residential purposes.
2.11The 'Utility Bundle' consists of the combination of utility services detailed within your Utility Order, which are to be supplied to the Premises by our partnered Service Providers.
2.12The 'Utility Coordination Service' encompasses our facilitative role, which includes the procurement, ongoing oversight, and comprehensive management of utility supplies from external Service Providers. This service is designed to meet your specified needs and ensure the effective delivery of the Utility Bundle to the Premises.
2.13A 'Utility Order' is the formal request that you submit to us, either directly or through an intermediary such as a letting agent or property manager, wherein you provide detailed instructions and preferences for the Utility Coordination Service to be provided in respect of the Premises.

3Our Services
3.1We operate and manage a platform designed to streamline and simplify the arrangement of utility services for residential properties for a fixed monthly payment. This platform facilitates the sourcing and coordination of electricity, gas, water, and internet connections, which are provided to you through independent Service Providers rather than by us directly.
3.2Acting as your appointed representative, we are authorized to negotiate and establish utility supply agreements with these Service Providers on your behalf. We do not ourselves supply or deliver the utilities. Where necessary and with your consent, we may also arrange for a transition from your existing provider to a new Service Provider to ensure seamless and continuous service delivery.
3.3You remain ultimately responsible for the payment of all expenses incurred in relation to the utility services provided by the Service Providers. As part of our Utility Coordination Service, we will undertake the administration of billing and the processing of payments on your behalf, ensuring that these transactions are handled efficiently and transparently.
3.4We will commence the provision of our Utility Coordination Service on the Commencement Date that you have specified in your Utility Order. We will also coordinate with the Service Providers to ensure that the Utility Bundle is supplied to the Premises from the Commencement Date until the Termination Date, as outlined in your Utility Order.
3.5By appointing us as your agent under this agreement, you grant us the following specific authorities to act on your behalf:
3.5.1To serve as your primary point of contact and liaison with the Service Providers for all matters related to the management of your Premises’ utility accounts.
3.5.2To secure and enter into supply agreements with Service Providers that are tailored to meet your specified requirements for utility services.
3.5.3To select and negotiate contracts with Service Providers that align with the requirements you have communicated to us in your Utility Order.
3.5.4To oversee and manage your Premises’ utility accounts with the Service Providers, which includes adjusting payment plans and, where applicable, configuring schedules for smart meter readings, all in accordance with our privacy policy available at www.orbitutilities.com.
3.5.5To access and share necessary information about your Premises’ utility accounts with the Service Providers, including your contact details, to facilitate the effective delivery of services.
3.5.6To receive invoices, statements, and other communications directly from the Service Providers on your behalf.
3.5.7To disburse the amounts owed to the Service Providers using the funds that you have provided to us for this purpose.
3.5.8To forward any critical information or documentation provided by the Service Providers regarding the principal terms of your agreement to the contact details you have supplied, ensuring delivery within five working days.
3.5.9To confirm to the Service Providers that we are acting as your authorized representative for the purpose of managing the Utility Bundle.
3.5.10To notify the Service Providers when your agreement with us has ended or when you vacate the Premises, ensuring a smooth transition of account responsibilities.
3.5.11To undertake all reasonable actions necessary to arrange and oversee the consistent and reliable delivery of the Utility Bundle by the Service Providers to your Premises.
3.6By agreeing to these terms and conditions and submitting your Utility Order, you undertake the following commitments:
3.6.1You authorize the Service Providers to collaborate and work closely with us to manage the contract and the supply of utilities, and you consent to us sharing a copy of your Utility Order with them as proof of your authorization for us to act on your behalf.
3.6.2You acknowledge that, in addition to our role as your agent, we may also serve as an agent for a Service Provider in certain circumstances. In such cases, we may receive commissions or fees from these providers, which we are entitled to retain without any obligation to pass on to you or adjust your rates accordingly.
3.7In the event that an External Disruption significantly delays or prevents us from delivering the Utility Coordination Service, we will notify you as soon as practicable to inform you of the situation. We will take all reasonable steps to minimize the impact on your service. We will not be held liable for any delays or failures caused by such events, provided we have acted reasonably and diligently in response. However, if the delay exceeds a period of 30 days, you may contact us via email at support@orbitutilities.com to terminate the affected portion of the contract or the entire agreement, and we will provide a refund for any services that you have paid for in advance but have not received due to the disruption.
3.8If we, or a Service Provider (or their authorized third party), require reasonable access to your Premises to establish or perform the Utility Coordination Service, such as for the installation of meters or other necessary equipment, and you fail to provide such access despite our reasonable requests, we may impose a charge of up to £30 to cover the reasonable costs incurred, including any fees for missed visits charged by the Service Provider. Furthermore, if, despite our diligent efforts, we are unable to contact you or arrange the necessary access for the Service Provider (or their authorized third party) to deliver a utility service, we reserve the right to terminate our contract with you.
3.9Should a Service Provider make a material change to the cost of a utility service provided to your Premises after the date of your Utility Order, we reserve the right to adjust the Payments we charge you to reflect this change. Before implementing any such adjustment, we will provide you with at least 30 days’ prior written notice. If the change in Payments would place you at a disadvantage, you have the option to request the termination of your contract with us before the adjustment takes effect, and we will refund you for any services that you have paid for in advance but have not yet received. Additionally, if there are any changes to the Payments between the date of your Utility Order and the Commencement Date, you will retain the right to cancel your contract with us without incurring any penalty.
3.10We or a Service Provider may suspend all or part of the Utility Coordination Service or the supply of utilities, and where it is feasible, we will endeavour to provide you with reasonable advance notice of such suspension. This action may be taken for the following reasons:
3.10.1To implement modifications to the Utility Coordination Service or the Utility Bundle, either as requested by you or as notified to you by us in accordance with these terms.
3.10.2To conduct inquiries or investigations if a Service Provider reasonably suspects that a meter recording gas or electricity usage at your Premises has been damaged or tampered with, except where such damage or tampering is attributable to the actions or negligence of the Service Provider.
3.10.3To address technical issues or to update the Utility Coordination Service or the Utility Bundle to ensure compliance with changes in applicable laws or regulatory requirements.
3.11Any suspension of the supply of gas or electricity will be restored as soon as is reasonably practicable once the investigation or technical issue has been fully resolved and, in our or the Service Provider’s reasonable judgment, the underlying problem has been satisfactorily addressed. If such a suspension of any utility service lasts for more than 10 days, you will be entitled to cancel your contract with us without incurring any penalty, and we will refund you for any services that you have paid for in advance but have not received during the period of suspension.
4Contract Formation
4.1To request our Utility Coordination Service, you must submit a Utility Order to us, which can be done either directly by you or indirectly through an intermediary such as a letting agent, landlord, or property manager acting on your behalf.
4.2Upon receiving your Utility Order, we will send you an email to acknowledge its receipt. However, please note that this acknowledgment does not signify that your order has been accepted by us. Our acceptance of your Utility Order will only occur when we send you a subsequent email explicitly confirming that your order has been accepted, and no contractual relationship will exist between us until this confirmation is provided.
4.3Once we have accepted your Utility Order, these terms and conditions, together with the details and specifications contained within your Utility Order, will constitute a legally binding contract between us and you for the provision of the Utility Coordination Service.
4.4We may not be able to accept your Utility Order for a variety of reasons, including but not limited to the following:
4.4.1If some or all of the components of the Utility Bundle are not available for provision at the Premises.
4.4.2If we are unable to deliver some or all of the Utilities by the Commencement Date that you have specified in your Utility Order.
4.4.3If we are legally or otherwise prohibited from providing the Utility Coordination Service or the Utility Bundle to you.
4.4.4If we determine that we are unable to fulfill the Utility Coordination Service as requested due to operational or logistical constraints.
4.4.5If we are unable to verify or confirm your payment details, or for any other reason that is outside of our reasonable control.
4.5In the event that we are unable to accept your Utility Order, we will inform you of this decision in writing, and you will not be charged for the Utility Coordination Service.
4.6Unless otherwise agreed in writing between us or unless the contract is terminated in accordance with the provisions outlined in these terms and conditions, your contract for the Utility Coordination Service will automatically end on the Termination Date as set out in your Utility Order.
4.7After we have accepted your Utility Order, if we find it necessary to make changes to any of the key terms of the Utility Coordination Service, including but not limited to our identity, the price of the service, other associated costs, the duration of the contract, or the conditions under which it may be terminated, we can only do so with your explicit agreement. However, if changes are reasonably necessary after you have placed your Utility Order, we may amend these terms and conditions. Such amendments may be made for the following reasons:
4.7.1To comply with legal or regulatory requirements that impose new obligations on us.
4.7.2To enhance the clarity and readability of these terms and conditions for your better understanding.
4.7.3To improve the quality, efficiency, or scope of the Utility Coordination Service that we provide to you.
4.7.4Because of a change imposed on us by a Service Provider that affects our ability to deliver the service.
4.8If any such amendment results in a disadvantage to you or leads to an increase in the price or costs (other than where such an increase is expressly permitted under these terms), you will have the right to request the termination of your contract with us before the changes take effect, and we will refund you for any services that you have paid for in advance but have not yet received.
4.9We may, at our discretion, pay a commission to the letting agent or landlord associated with your Premises in relation to the processing and management of your Utility Order, as a form of compensation for their role in facilitating the service arrangement.
5Your Obligations
5.1You must ensure that you have obtained the necessary consent or approval from your landlord or letting agent, if applicable, to allow us to set up and provide the Utility Coordination Service at the Premises.
5.2During the term of this agreement, you are obligated to refrain from entering into separate contracts with alternative utility providers for the same services covered by the Utility Bundle, unless expressly agreed by us in writing.
5.3You are required to supply us with all requested information in a prompt and accurate manner, including but not limited to your contact details, meter readings, payment information, and proof of tenancy or occupancy. You must also notify us immediately of any changes to this information. Failure to provide the required details may result in the imposition of reasonable administrative fees or our refusal to proceed with certain aspects of the service.
5.4You must provide initial meter readings at the start of the service, monthly readings throughout the term, and final readings upon termination. If you fail to provide readings for two or more consecutive months, you must allow us or a Service Provider access to the Premises to take these readings. Failure to comply may lead to a fee of up to £30, and we reserve the right to terminate the contract if access remains denied.
5.5You are responsible for ensuring that the Commencement Date and Termination Date specified in your Utility Order are accurate. We will not be held liable for any errors or consequences arising from inaccuracies in the dates you provide.
5.6You must adhere to the terms and conditions imposed by the Service Providers for the supply of utilities. Additionally, you agree to indemnify and cover any losses or damages that we may incur as a direct result of your breach of these obligations or any other provisions of this agreement.
6Payment and Costs
6.1All payments due under this agreement will include Value Added Tax (VAT), where applicable, and any changes to the VAT rate will be reflected in the adjusted Payments accordingly.
6.2You are required to make monthly payments to us via direct debit, with the payment due on the first business day of each month. If a payment is missed, we will issue a notice to you, and failure to rectify the missed payment within 5 working days may result in a fee of £10 per person, as well as the potential cancellation of the contract.
6.3The weekly rate specified in your Utility Order covers the amounts payable to the Service Providers for the utilities supplied, the Unlimited Energy Charge and the Administration Fee. You acknowledge that we will retain any differences between the collected Payments and the actual costs paid to Service Providers, including any commissions or incentives received from Service Providers.
6.4If the amounts you owe to the Service Providers is greater than the Payments you make to us, there will be no additional charges to you such for excess usage unless you are in breach of the Service Usage Policy in which case your Payments may be adjusted in accordance with the provisions outlined in these terms and conditions.
6.5Liability for payments under this agreement is joint and several among all Customers named in the Utility Order. You must notify us promptly of any departures of Residents to allow for the reallocation of payment responsibilities among the remaining Customers.
6.6You are obligated to report the addition of any new Residents to the Premises to us as soon as possible after their arrival.
6.7In the event of non-payment by one or more Customers, we reserve the right to notify the other Customers, who may then be required to cover the increased share of the total Payments.
6.8If other Customers fail to make their required payments, the remaining Customers may be subject to an increased share of the Payments to ensure the full amount is covered.
6.9We may adjust the Payments to account for any unreported Residents who have been using the utilities at the Premises, ensuring fair distribution of costs.
6.10An additional charge may be applied for any unoccupied bedrooms at the Premises, reflecting the reasonable usage levels associated with those spaces during the period of vacancy.
6.11If you breach the Service Usage Policy, we will notify you within seven days of identifying the breach. We may then adjust the Payments to reflect the excessive usage and, if the breach persists, we reserve the right to cancel the contract.
6.12You are required to submit monthly meter readings to us. If you fail to provide readings for two or more consecutive months, we may impose a fee of up to £30, require access to the Premises to take the readings ourselves, and, if access is still denied, terminate the contract.
7Your Right to End the Contract and Receive a Refund
7.1Once we have accepted your Utility Order, thereby establishing a legally binding contract between us, you are entitled to a cooling-off period of 14 days during which you may cancel the Utility Coordination Contract without providing any reason. If you choose to cancel during this cooling-off period, the following conditions apply:
7.1.1If we have provided you with any equipment (such as a smart meter or broadband router) and we request its return, you must return it to us at our expense, provided the equipment is in its original, undamaged condition.
7.1.2You may exercise your right to cancel by sending an email to support@orbitutilities.com or by completing and submitting the Template Cancellation Form located at the end of these terms, addressed to our registered office.
7.1.3The Utility Coordination Service may only begin during the cooling-off period with your explicit written consent, acknowledging that this will affect your refund rights.
7.1.4You will receive a full refund of any Payments made to us unless the service has already started, in which case you will receive a pro-rata refund for any services paid for but not received, processed within 14 days of your cancellation notice.
7.1.5Please note that cancelling this agreement may not terminate any direct contracts you have with Service Providers, which may continue to apply.
7.2After the 14-day cooling-off period has ended, you retain the right to end the contract at any time by contacting us via email at support@orbitutilities.com or by using the Template Cancellation Form, ensuring we receive your notice to initiate the termination process.
7.3If you elect to end the contract for any of the following specified reasons, you will not incur any cancellation charges, and we will refund all Payments you have made to us, provided we have not yet started to provide the Utility Coordination Service. If the service has commenced, we will refund you a pro-rata amount for any services you have paid for but not received, with refunds processed within 14 days after we are informed of your cancellation:
7.3.1We have notified you of a change in the Payments, the Utility Coordination Service, or the Utility Bundle, and you have a right to cancel under clauses 3.7 or 3.9.
7.3.2Any utility service has been suspended for more than 10 days, granting you the right to cancel under clause 3.11.
7.3.3We have informed you of an error in the description of the Payments, Utility Coordination Service, or Utility Bundle, and you no longer wish to continue the contract following this communication.
7.3.4We have notified you of a change in the Payments that you do not accept, unless the change was a result of a request initiated by you.
7.3.5You have a legal right to cancel the contract due to an External Disruption as detailed in clause 9.4.
7.4If you wish to cancel the contract for a reason not listed in clause 7.3, the contract will terminate 30 days after the day we receive your cancellation notice. You will remain liable for all Payments due up to that date or the Termination Date, whichever occurs sooner. Additionally, we will charge each of you an early cancellation fee of £75 if you cancel after the Commencement Date, or £25 if you cancel before the Commencement Date, to cover our administrative costs.
7.5Upon your cancellation of the Utility Coordination Service, you may still be bound by direct Utility supply contracts with a Service Provider in relation to the Utility Bundle. We will notify the Service Providers of the end of our service with you and can provide you with their relevant information about and contact details for the Service Providers. However, if you wish to cancel your contract with a Service Provider, you may also be liable to pay any early termination fees or charges as stipulated in your agreement with them.
8Our Right to End the Contract
8.1We reserve the right to end the Utility Coordination Service contract between us by providing you with written notice in any of the following circumstances:
8.1.1If we or a Service Provider are not granted reasonable access to your Premises as described in clause 3.8, despite our reasonable efforts to arrange such access.
8.1.2If you fail to provide us with any of the required information as outlined in clause 5.3, including contact details or meter readings, in a timely manner.
8.1.3If you fail to provide us with the necessary meter readings or allow access for us or a Service Provider to take these readings as stipulated in clause 5.4.
8.1.4If you do not make the required payment to us when it is due, as detailed in clause 6.2.
8.1.5If you are found to be in breach of the Service Usage Policy as described in clause 6.11, due to excessive or unauthorized usage of Utilities.
8.1.6Due to the occurrence of an External Disruption as described in clause 9.4, which prevents us from fulfilling our obligations.
8.2If we terminate the contract for any of the reasons outlined in clause 8.1, we will refund you a pro-rata amount for any Payments you have made for services that have not been received. However, except in the case of clause 8.1.6 (External Disruption), you will also be liable to pay us, or we may deduct from any amounts owed to you, a cancellation fee of £75 per person if we cancel after the Commencement Date, or £25 if we cancel before the Commencement Date, as reasonable compensation for the administrative costs we incur as a result of your breach of the contract.
9Events Outside our Control
9.1We will not be held accountable or liable for any delays or failures in the delivery of the Utility Coordination Service that arise directly from the occurrence of an External Disruption, as these are beyond our reasonable control.
9.2We will inform you promptly and in writing of any impacts or disruptions caused by such events, ensuring you are kept updated on the status of your service.
9.3Our obligations under this agreement will be suspended for the duration of the External Disruption, and we will resume our duties as soon as it becomes reasonably practicable to do so following the resolution of the event.
9.4You may cancel the contract if the External Disruption lasts for more than 30 days, or more than 14 days in the case of key utilities such as gas or electricity. Similarly, we may exercise our right to cancel the contract after a period of 30 days if the disruption continues to prevent service delivery.
10Liability and Exclusions
10.1We will only be liable to you for losses that are a foreseeable result of our breach of these terms and conditions or our negligence in performing the Utility Coordination Service.
10.2We will not be liable for any losses that are not foreseeable, those that do not arise from our breach, any losses related to business or commercial activities, or any losses suffered by individuals or entities other than the intended domestic consumer covered by this agreement.
10.3Our liability will not be limited in cases of death or personal injury resulting from our negligence, fraud, or any other matter for which liability cannot be legally excluded or restricted under applicable laws or regulations.
10.4The total amount of our liability to you under or in connection with this agreement will be capped at the total sum of all Payments you have made to us during the term of the contract.
10.5The Utility Coordination Service is intended for domestic and residential use only. If you use the service for commercial purposes or in breach of these terms, we will not be liable for any loss of profits, business interruption, or other commercial losses that may result.
11Your Concerns with the Utility Coordination Service
11.1If you have any concerns, complaints, or issues regarding the Utility Coordination Service, please contact us by email at support@orbitutilities.com. We are committed to addressing your concerns promptly and working towards a satisfactory resolution.
11.2For matters specifically related to the supply of gas, electricity, or water, you may contact the relevant Service Providers directly. Upon your request, we will provide you with their contact details, along with information about your rights to pursue disputes or seek advice through appropriate channels.
12Data and Privacy
12.1In compliance with the General Data Protection Regulation (GDPR) and other relevant data protection laws, we will use your personal details for the following purposes:
12.1.1To manage and administer the provision of the Utility Coordination Service and to process your payments effectively.
12.1.2To send you updates or information about similar offerings or services that may be of interest to you, with an option for you to opt out of receiving such communications.
12.1.3To disclose your personal information to Service Providers as necessary for the coordination and delivery of the Utility Bundle.
12.1.4To comply with requests or obligations imposed by governmental authorities or regulatory bodies.
12.1.5To engage debt recovery agencies or other third parties in the event of non-payment or outstanding debts.
12.2We may provide your name and contact details to Service Providers for the following specific purposes:
12.2.1To register utility meters in your name to ensure accurate billing and service provision.
12.2.2To set up and manage broadband accounts on your behalf, facilitating internet connectivity at the Premises.
12.3For a comprehensive explanation of how we collect, use, store, and protect your personal data, as well as your rights under data protection laws, please consult our full data privacy policy, which is accessible at www.orbitutilities.com.
13General
13.1We reserve the right to transfer or assign our rights and obligations under this agreement to another company or affiliate within our group, provided we give you reasonable notice of such a transfer. You may not transfer your rights or obligations to another party without our prior written consent.
13.2This agreement is intended to create a contractual relationship solely between you and us. No third party shall have the right to enforce any of its terms, except where the Service Providers have separate duties under their contracts with you. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue to apply in full force and effect. The rights and obligations under this agreement will survive its termination where necessary to give effect to its purposes.
13.3Our failure to enforce any right or provision under these terms and conditions at any time will not be construed as a waiver of that right or provision, and we may choose to enforce it at a later date at our discretion.
13.4This agreement and any disputes or claims arising out of or in connection with it (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
